By Jeffrey Hauser Ive just watched another episode of Dr. Phil where another insensitive clod was cheating on his wife while she was caring for his three kids. He explained how he was feeling neglected and the sex wasnt the same anymore either. Really? What was she thinking putting the baby before him? Couldnt the little sucker wait for her to satisfy her husbands primal needs first, instead on crying to have his diaper changed or be fed? How insensitive of the newborn. Its not just on Dr. Phil. Cheating men are everywhere with all kinds of similar reasons for committing adultery. A few that I can remember are: (a) My wife doesnt look like the hottie she was ten years ago But you do? (b) I need change of scenery Then go on a vacation (c) We dont have enough sex It takes two to tango. (d) She spends too much time with the kids And your responsibility is what again? (e) Shes gained weight I suppose youre the same trim stud as you always were? (f) We never talk anymore Is your mouth sewn shut too? (g) It just happened when we got a new secretary And the new mailmans off limits? (h) We met in a bar and I was drunk When liquors involved, its always acceptable. (i) I dont have an excuse: it just happened Finally, an honest man. Remember why you married in the first place. Wasnt there something about commitment and responsibility? I realize that many woman cheat on their husbands and it works both ways. But this is about men. Ive seen these great looking women with these loser macho men that think theyre Gods gift to other ladies and somehow deserve better. Well, I have a clue for them: they arent and dont. Be thankful for what you have and make it work. Most of these guys dont realize how lucky they are and how many other guys lust after their wives. But, instead, they go trawling around after anything in a skirt, thinking that other woman cant wait to be hit on for a quicky. These shallow men make us all look bad. There are either really stupid when it comes to women or totally misguided. They dont understand the consequences of their actions and figure the whining bitch will always take them back when they come limping home after a failed affair. After all, who else would want the old, fat, kid-rearing, ex-hottie, that doesnt talk much, always looks about the same, and doesnt even give BJs anymore? I wonder why not? Look what our man did to deserve her affections before the affair. If all of this is lost on the men reading this article, I have a final word of advice. Its rarely, if ever, worth a few minutes of sexual pleasure with a stranger when your wife is more than willing to satisfy you. That is, if you are willing to do a minimal amount of loving and caring for her. But if thats too much to ask, then go right on being the worlds biggest jerk. Typically, this is a widowed woman. In her generation, manners reflected respect and honor, for oneself and for others. There were definite dos and donts Practicing good manners will go a long way toward creating an overall atmosphere of mutual trust and respect in your work place. This in turns creates a more pleasant working environment for every employee. An employee that feels respected translates in to higher employee retention. A senior client that feels respected translates in to higher client retention. My pet peeve is the acceptance of a lower standard of treatment based on low income, race, and lower education. If you set sensible goals for yourself, chances are you’ll be more likely to meet them and have a better chance of keeping the weight off. In fact, losing even five to 10 percent of your weight is the kind of goal that can help improve your health. Most overweight people should lose weight gradually. For safe and healthy weight loss, try not to exceed a rate of two pounds per week. Sometimes, people with serious health problems associated with obesity may have legitimate reasons for losing weight rapidly. What you weigh is the result of several factors: -how much and what kinds of food you eat -whether your lifestyle includes regular physical activity -whether you use food to respond to stress and other situations in your life -your physiologic and genetic make-up -your age and health status. Successful weight loss and weight management should address all of these factors. And that’s the reason to ignore products and programs that promise unrealistic quick and easy results, or that promise permanent results without permanent changes in your lifestyle. Any ad that says you can lose weight without lowering the calories you take in and/or increasing your physical activity is selling fantasy and false hope. In fact, some people would call it fraud. Why Fad Diets Don’t Work The world has an unhealthy obsession with ‘fad’ diets. This is due to the American culture’s need for a magic bullet or solution that provides immediate gratification. Technically a diet simply refers to what you eat any day. In the truest sense, we are all on a diet daily - the question is, is it healthy or not. It can get pretty confusing because one is assaulted daily with claims from diet gurus. Also sky-high book sales from diet plans promoting diets that restrict certain foods or food combining tells us that these diets are healthy. This is not necessarily true. The diet may work for the short term but you could end up with a heart attack, problem skin, kidney failure and even malnutrition! There is continuing controversy between the “diet” experts about which diet works best. One book advises to avoid all carbohydrates, yet another promotes carbohydrates. Some suggest that you consume a high fat, high protein diet consisting of no carbohydrates, while another may say that eating no fat is the key to weight loss success. Who do we believe, and what do we believe? Im not discrediting all weight-loss programs and products. Those few that focus on permanent lifestyle changes, correct information, and proper nutrition are the weight loss programs that are the most successful. Fad diets don’t work because they cause you to focus more on food than you would if you were not dieting. Most of them are based on self-deprivation. Depriving ones self of a craving usually doesn’t last for more than a day. The next thing you know the person is breaking the diet, feeling the failure of that and then giving up altogether. The idea is to adopt a healthy eating and exercise plan to avoid this common dieter’s pitfall. Another drawback of fad diets is that many of them don’t work at all. Some, such as those based on diuretic herbs simply cause a loss of water rather than fat. This water is simply regained back by the body and then retained with a vengeance after you are off the diet. This is known as rebound weight gain. Diets fail because they offer no long-term solution. When people initially start dieting theyre highly motivated. They immediately stop eating fast food, stop-consuming alcohol, stop eating sweets, and start exercising. But as time passes, they fail to exercise, as often, they don’t watch calories as closely as they once did, and they lose the motivation they once had. As a result, they fall back into old habits, patterns, and eventually a lifestyle. You can prevent this phenomenon by introducing changes at a gradual pace. Dont attempt to change your entire lifestyle overnight. For example, cut back on sugar consumption and add exercise to your daily routine two or three times a week. A few weeks later add another day of exercise and limit junk food consumption to once or twice a week; continue until a balance is reached and you feel in control. The reason that most diet gurus sell a lot of books is because they are selling hope, not realistic expectations. Many people place all their trust in the book, and not themselves. As a result, they dont accomplish their weight-loss goal because the secret isnt found in a diet book. Succeeding at weight-loss requires far more than just reading a book, it requires the accumulation of knowledge, patience, planning, good choices, and of course, realistic expectations. Its essential to make good choices. Once you make a choice, it then makes you. Choices feed habits, habits define lifestyle, and lifestyle determines your future. The 5 Biggest Mistakes Made by New LLCs

By Amyli McDaniel Mistake #1 Doing Business Before the LLC is Formed. You are personally liable for any business activities or transactions that take place before your LLC is formed. A person can sue you years later for something you did today. If your business becomes successful, those early acts could cause you to be the subject of a personal lawsuit. Don’t think it has not been done. With over 70,000 lawsuits filed a day, this world is filled with people and their predatory litigation attorneys looking for successful small businesses to attack. Mistake #2 Failing to Actually Issue Ownership Interests in the LLC. Many business owners create an LLC but never actually issue ownership interests (known as Membership Units) to the persons that are going to be owners of the LLC (known as Members). It can be easy for you mistakenly think that because you created the LLC, you are automatically the owner of the LLC. The fundamental premise of an LLC is that it is its own separate entity. When an LLC is formed by a state agency, it does not have owners. Membership Units or a percentage interest in the LLC must be issued to the persons who will be the owners. This issuance transaction should be in writing. The LLC Operating Agreement is the typical place where the LLC issues shares to Members. Make sure that after your LLC is formed, you complete this next step. Mistake #3 Failing to Create a Management Structure. An LLC needs to have a management structure. A management structure determines who has the authority to make decisions on behalf of the LLC. There are two management structures. A member-managed LLC is when the members automatically have the rights to operate and manage the LLC business. The second is a manager-managed LLC which creates a corporate type structure. A Board of Managers is created and persons who are appointed to that Board have the authority to run the business. The best place to create a management structure is in the LLC’s Operating Agreement. All LLC’s should have an Operating Agreement as this agreement creates the set of rules for your LLC. Mistake #4 Failure to Get Investment Obligations in Writing. The LLC Acts of most states require that all agreements by a Member of an LLC to contribute money to the LLC must be in writing. An oral agreement is not enforceable under the law. If you are planning on starting a new business with other persons, you will likely get together and decide on how much of the business each of you will own and on what obligations each of you are agreeing to with respect to that business. Obligations usually include how much money you are each going to contribute to the business or what kind of services and time commitment each of you will devote to the business. These conversations take place but in many multi-member LLCs, they are never placed in writing. Without a writing, any oral promises are not enforceable. If you issue Membership Units based on an oral promise and the Member fails to deliver, you cannot take back the Units. Mistake #5 Thinking that an LLC is a Foolproof Layer of Liability Protection Yes, it is established that a Member of a properly formed and maintained LLC is not liable for the debts, obligations and lawsuits of the LLC merely by being a Member of the LLC. But, in a realistic business context, persons who are Members are usually not passive owners of the LLC. They are also active managers and operators of the LLC business. In today’s litigious world, all businesses should be run through a limited liability entity such as an LLC. The LLC liability protection is a significant protection vehicle. However, the LLC layer of protection does not extend to all potential liabilities that can arise in the midst of running an LLC. Do your homework in performing the administrative and other tasks of your LLC and retain the proper professionals to advise you when appropriate. There are certain standards and formalities you need to meet or else you run the risk of being personally liable (this risk is known as piercing the veil risk). The LLC laws do not cover personal negligence. Your LLC should always have insurance to cover these types of business related accidents. Do not ever think that the LLC is enough to protect you in these circumstances. Similarly, there are some laws that hold you liable regardless of whether you are operating through an LLC. The most obvious one that might apply is if you are a licensed professional. Doctors, lawyers, accountants, real estate brokers and dentists, for example, are always personally liable for acts of malpractice. If you are a licensed professional, make sure you get the proper insurance. Also, there are certain tax, environmental and securities laws that you can be held personally liable for if your LLC is in violation of those laws and you were the responsible manager. Finally, you cannot use your LLC to engage in fraud or hide behind the LLC to protect yourself when you engage in fraudulent or unlawful acts. If you break the law or try to defraud others, the law will hold you personally accountable. In summary, the LLC is a wonderful vehicle for providing Members with limited liability protection. But, in order to preserve that protection, you cannot just form an LLC and then forget it exists. Make sure you do the necessary things to honor your LLC as a separate entity and also know that the LLC should not be your sole means of protection- get insurance when it makes sense and always invest in the required knowledge for operating your business which includes getting the right help when needed in your business! By Brenda Franzo Spring is in the air and its time to shed those winter pounds and set your health and fitness goals. How we feel physically plays an important part in all aspects of our lives. It affects our moods and our energy levels. Exercise, nutrition and diet all play a vital part in our physical health. Fitness is about keeping your body in shape and tuned up. Nutrition is about getting the right ingredients to your body to keep it running smoothly. Both help you feel energized, which is so important in ones motivation and overall happiness, which in turn improves our overall physical health. Heres a few simple ideas to get you started and to help you set your goals. Drink plenty of water. Yes, this is simple but so important. Its easier said than done. Keep a water bottle with you wherever you go. Water is important! It helps with fat loss, helps rid the body of impurities, and carries away all the waste from the body. It is recommended for that you should drink 8 glasses of water every day. Start stretching. Stretch anytime, a couple times a day. Stretching is great first thing in the morning but remember to stretch as you go about your day, during work and in the evenings. Stretching increases your circulation and your flexibility. It also reduces stress and improves coordination. Start walking. Take a walk around the block, then go from there. Again, its a good thing to walk first thing in the morning because it gets you going but walking anytime that you can will be just as good. Walking gives you more energy, helps you sleep better, helps you get your leg muscles in shape and as with any type of exercise, it helps reduce stress. Make healthy choices when eating. Avoid junk food and those simple carbs like pies, potato chips, white bread, juice drinks with added sugar, candy, and soda. Eat protein which helps build healthy muscles. Protein can be found in chicken breast, lean ground turkey, fish and egg whites. Look for the fat content in foods that you eat and avoid trans fats and saturated fats. Take these ideas and make them a part of your daily routine. It may not be easy at first, but grasping these simple ideas will help you set your goals and begin your fitness routine.
